What are the four-five basic elements of a contract?

Answered by the UK Wedding Websites editorial team · Updated 2026-10-12

Short answer

The basic elements are offer, acceptance, consideration, and intention to create legal relations. In some cases, capacity is also listed as a fifth element. These must all be present for a contract to be legally binding.

A contract exists when one party makes an offer and the other accepts it. For your wedding, the offer might be a venue saying they will host your reception on a specific date for a specific price. Acceptance happens when you agree to those terms, usually by signing the contract or paying a deposit. Consideration is what each side gives up. You give money, and the venue gives you the use of their space and services. Both sides must give something of value for the contract to hold.

Intention to create legal relations means both parties intend the agreement to be legally binding. For commercial contracts like wedding suppliers, this is usually assumed. But it is still worth stating in writing that the contract is legally binding. Capacity is the fifth element in some lists. It means both parties are legally able to enter a contract, so they are over 18 and of sound mind. In England and Wales, you must be 18 to marry, but you can sign a contract at 18 too.

For your wedding, you do not need to be a lawyer to check these elements. Just make sure the contract names both parties, states the services and price clearly, and is signed by both sides. If you are under 18, you may need a parent or guardian to co-sign. If a supplier is a limited company, check the contract names the company correctly. If you are unsure whether a contract is valid, you can ask the supplier to confirm in writing that they intend to be bound by it. For any legal questions, check GOV.UK or speak to a solicitor.
